Terms of Service

These Terms govern access to and use of Oz FreightOps and the supporting Oz Core platform (the “Service”), operated by Digisi Rwanda Limited (“Digisi”, “we”, “us”, or “our”).

1. Service

Oz FreightOps provides AI-assisted freight-operations software and API capabilities, including inbound freight intake, structured extraction, document processing, operator workspaces, quote and shipment workflows, communication drafts, model APIs, retrieval, and account and usage administration. The Service assists human operators; it does not replace the customer's responsibility for commercial or operational decisions.

2. Accounts and authority

Customers must provide accurate account information and keep it current. Users are responsible for activity under their accounts and credentials and must protect passwords and API keys. A user who creates or administers an organization must have authority to act for that organization. Suspected unauthorized access should be reported promptly and compromised API keys should be revoked.

3. Acceptable use

Customers may not use the Service to violate applicable law or third-party rights, distribute illegal or infringing content, attempt unauthorized access, bypass quotas or security controls, interfere with service operation, or misuse the Service to make consequential decisions without appropriate human review.

4. AI assistance and human control

AI output may be incomplete, outdated, or incorrect. Freight pricing, bookings, cancellations, carrier selection or commitment, shipment-update application, and customer-facing sends remain behind explicit human review or action. Customers and operators are responsible for checking source information before relying on AI-assisted output.

5. Customer data and privacy

Our Privacy Policy describes how account information, freight messages, original attachments, operational records, usage metadata, audit records, and billing identifiers are processed. Customer freight messages, attachments, prompts, and model outputs are not used to train models as part of the current Service behavior. Customers retain their rights in submitted business data, subject to the rights needed for Digisi and configured providers to operate, secure, support, and improve the Service as permitted by this agreement.

6. Plans, fees, billing, cancellation, and refunds

Plan limits and included capabilities may be stated in the Service or applicable order. Paid subscriptions may use Paddle as merchant of record and payment provider. Recurring subscriptions renew until cancelled where the selected plan is recurring.

Payments are generally non-refundable after a billing period starts, except where required by law or where Digisi Rwanda Limited agrees otherwise for a verified billing or service problem. Customers may cancel future renewal at any time. See the Refund Policy.

Pricing or billing changes will be communicated as required by applicable law and applicable billing terms.

7. Service availability and changes

We may maintain, update, or change the Service over time. No uptime, response-time, or service-level commitment is created unless a separate agreement expressly states one. We may make changes needed for security, legal compliance, reliability, or product operation.

8. Intellectual property

Digisi and its licensors retain rights in the Service, software, product design, and associated materials. As between the customer and Digisi, the customer retains rights in inputs it provides and, to the extent permitted by applicable law and upstream provider terms, outputs it receives.

9. Third-party services

The Service may rely on configured infrastructure, model, email-routing, integration, and billing providers. Use of a third-party service may also be subject to that provider's terms. Provider availability can affect features that depend on it.

10. Suspension and termination

A customer may stop using the Service subject to applicable account and billing terms. Digisi may suspend or terminate access for material breach, abuse, non-payment, security risk, unlawful use, or where required by law.

11. Warranties and liability

The Service is provided subject to applicable law and any express commitments in an applicable order or separate agreement. To the extent permitted by applicable law, Digisi does not warrant that the Service will be uninterrupted or error-free. Nothing in these Terms excludes or limits liability or rights where applicable law does not permit that exclusion or limitation.

12. Governing law and dispute forum

These Terms are governed by the laws of the Republic of Rwanda. Disputes are subject to the competent courts of Rwanda, unless applicable mandatory law requires otherwise.

13. Mandatory customer protections

Nothing in these Terms excludes a right or protection that applicable mandatory law does not permit the parties to exclude.

14. Changes to the Terms

Material changes may be communicated through the Service, by email, or by another reasonable method where required.
